Buyer's Remedies Under the UCC
One of the seemingly most complicated topics in first-year contracts is "remedies" - especially UCC remedies.
In this chart are the Buyer's Remedies under the Uniform Commercial Code (Article 2).
In the chart below, notice the five ways in which a seller's breach of a contract may permit a buyer to seek damages (boxed in red):
The seller may breach a contract by failing to deliver
The seller may breach a contract by repudiating (in advance of anticipated delivery)
The buyer may reject goods where the seller has breached by making non-conforming tender
The buyer may revoke acceptance where the seller has breached by making non-conforming tender
The buyer may seek damages when accepting non-conforming goods
